Terms of Use for SeasonWins

1. Acceptance of Terms

By accessing and using the SeasonWins mobile application and related services (collectively, the "Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

SeasonWins is a sports contest application operated by Soares & Company, Inc. The Service allows users to participate in sports prediction contests, make picks on sporting events, and compete with other users for rankings and recognition. Core contest features are free to use. Certain optional features, including "Beat the Book" insights and related content, may be offered for purchase through in-app purchases. No real money is wagered or won through the Service.

SeasonWins and Beat the Book are not affiliated with, endorsed by, or sponsored by the NCAA, NFL, MLB, or any other sports league, conference, team, or governing body. All league, team, and event names are used for identification and informational purposes only and remain the property of their respective owners.

3. Eligibility

To use the Service, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into agreements
• Reside in a jurisdiction where the Service is available
• Provide accurate and complete registration information

4. User Accounts

4.1 Account Creation

You are responsible for creating and maintaining the security of your account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

4.2 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4.3 Account Termination

We reserve the right to terminate or suspend your account at any time for violations of these Terms or for any other reason at our sole discretion. Termination of your account does not automatically cancel or refund any in-app purchases you have made through Apple.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Attempt to gain unauthorized access to the Service or other users' accounts
• Use automated systems or bots to access the Service
• Interfere with or disrupt the Service or servers
• Harass, abuse, or harm other users
• Submit false or misleading information
• Attempt to manipulate contest results or rankings
• Share, resell, or transfer paid feature access in a manner not expressly permitted by us

6. Contest Rules

6.1 Contest Participation

Participation in contests is subject to the following rules:

• All picks must be submitted before the applicable deadline
• Picks cannot be changed after the deadline
• Contest results are final and binding
• We reserve the right to modify contest rules at any time

6.2 Fair Play

Users must participate fairly and honestly. Any attempt to manipulate contests, rankings, or results may result in account termination and disqualification from future contests.

7. In-App Purchases and Paid Features

7.1 Optional Paid Features

We may offer optional paid features within the Service, including but not limited to "Beat the Book" (game insights, season statistics, venue/weather information, odds-related content, and related tools). Paid features are not required to participate in free contests.

7.2 Apple In-App Purchases

Purchases made through the iOS app are processed by Apple as in-app purchases. Payment will be charged to your Apple ID account at confirmation of purchase. We do not collect or store your full payment card details. Pricing, taxes, currency, and payment method are governed by Apple's terms and your Apple ID settings.

7.3 Product Types and Billing

Unless otherwise stated at the point of purchase:

• One-time / non-renewing purchases (such as Beat the Book access for a stated period) are charged once and do not automatically renew.
• Auto-renewable subscriptions, if offered, automatically renew unless canceled at least 24 hours before the end of the current period. You can manage or cancel auto-renewable subscriptions in your Apple ID Account Settings after purchase.

The applicable price, duration/access period, and any promotional terms are disclosed in the app before you confirm purchase.

7.4 Access and Account Association

Paid feature access is associated with your SeasonWins account and/or the Apple ID used for purchase. You are responsible for restoring purchases on new devices using the same Apple ID and signing into the correct SeasonWins account. Access periods begin according to the terms shown at purchase (or when a promotional preview ends, if applicable).

7.5 Free Previews and Promotions

We may offer limited free previews or promotional access to paid features. Preview eligibility, duration, and limitations are described in the app. Using a preview does not create an obligation to purchase. When a preview ends, continued access to the paid feature may require purchase.

7.6 Refunds

Refund requests for Apple in-app purchases are handled by Apple under Apple's refund policies. You may request a refund through Apple (for example, via reportaproblem.apple.com or your Apple ID purchase history). We do not independently process Apple payment refunds. If Apple issues a refund, we may revoke the corresponding paid feature access.

7.7 Changes to Pricing and Features

We may change prices, product offerings, or paid feature content prospectively. Changes will not affect purchases already completed except as required by law or Apple's policies. We may modify, suspend, or discontinue paid features, provided that if you have already purchased time-limited access, we will use commercially reasonable efforts to provide the purchased access for the remaining period or an equivalent substitute.

7.8 No Gambling; Informational Use Only

Paid insights and related content are for informational and entertainment purposes only. They do not constitute betting advice, guarantees of outcomes, or an invitation to place wagers. SeasonWins does not accept real-money bets.

8. Intellectual Property

8.1 Our Rights

The Service and its original content, features, and functionality are owned by Soares & Company, Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Paid feature content remains our property; your purchase grants a limited, personal, non-transferable, non-exclusive license to access that content during the applicable access period for your own use within the Service.

8.2 Your Rights

You retain ownership of any content you submit to the Service, but you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and display such content in connection with the Service.

9. Privacy

Your privacy is important to us. Please review our Privacy Policy, which also governs your use of the Service, to understand our practices, including how we process purchase-related information.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability and fitness for a particular purpose
• Warranties that the Service will be uninterrupted or error-free
• Warranties regarding the accuracy or reliability of contest results, statistics, odds, weather, or other insights content
• Warranties that defects will be corrected
• Warranties that paid features will improve picking results or produce any particular outcome

11. Limitation of Liability

IN NO EVENT SHALL SOARES & COMPANY, INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO A PAID FEATURE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THAT FEATURE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to defend, indemnify, and hold harmless Soares & Company, Inc. and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Service or violation of these Terms.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the new Terms on the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Soares & Company, Inc. is incorporated, without regard to its conflict of law provisions.

15. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.

17. Entire Agreement

These Terms constitute the entire agreement between you and Soares & Company, Inc. regarding the use of the Service and supersede all prior agreements and understandings.
